Terms & Conditions for Suppliers

1. General
1.1 These terms and conditions (the “Agreement”) govern the relationship between the “Buyer”, referring to CKB MACHINING LLC, and “Supplier”, referring to any provider or vendor of goods and/or services to CKB MACHINING LLC who receives a purchase order.
1.2 This Agreement adheres to the AS9100 Revision D standard and includes all goods and services provided by the Supplier, extending to compliance and communication requirements specified in SAE INTERNATIONAL AS9100™D.

2. Compliance with AS9100 Revision D
2.1 The Supplier shall comply with AS9100 Revision D, ensuring:
a. Technical data identification for processes, products, and services.
b. Approval processes for products, services, methods, and equipment.
c. Personnel competence and qualifications.
d. Interaction protocols with the Buyer.
e. Performance monitoring and control.
f. Verification or validation activities at the Supplier’s premises.
g. Design and development control.
h. Management of special requirements, critical items, or key characteristics.
i. Testing, inspection, and verification processes.
j. Statistical techniques for product acceptance.
k. Quality management system implementation and compliance with specific customer and Buyer requirements.
l. Awareness of ethical behavior, contribution to product safety and conformity.

3. Counterfeit Parts Prevention
3.1 The Supplier is responsible for preventing the use of counterfeit parts. This includes:
a. Implementing controls to ensure authenticity and conformity of parts.
b. Notifying the Buyer of any detected counterfeit parts and taking corrective actions.
c. Ensuring traceability of parts to verify their authenticity.

4. Ethical Conduct and Product Safety
4.1 The Supplier shall:
a. Maintain a high standard of ethical behavior in all operations.
b. Ensure that all personnel are aware of their role in promoting ethical practices.
c. Recognize their contribution to product safety and conformity, emphasizing the importance of these aspects in all processes and decisions.

5. Traceability
5.1 Maintain traceability in compliance with AS9100 Revision D.

6. Records Retention
6.1 Retain and make available all records related to goods and services provision.

7. Confidentiality
7.1 All information from the Buyer is confidential.

8. Delivery and Lead Time
8.1 Adhere to agreed delivery schedules and communicate any delays promptly.

9. Quality Improvement
9.1 Participate in quality improvement initiatives.

10. Termination
10.1 Buyer reserves termination rights for significant noncompliance.

11. Governing Law
11.1 Governed by Texas law.

12. Entire Agreement
12.1 This Agreement is the complete understanding between the Parties.

13. Contact Information
13.1 Written notices or communications as per provided addresses.
